These Terms & Conditions (the “Terms”) govern your access to and use of the website located at wellnesselitefitness.com (the “Site”), the Wellness Elite Fitness facility located at 104 Whispering Pines Ave, Friendswood, Texas 77546 (the “Facility”), and the services, memberships, classes, kiosks, and products offered by Wellness Elite Fitness, a service offering of Wellness-Corporation LLC (collectively, “WEF,” “we,” “us,” or “our”). By accessing the Site, visiting the Facility, purchasing a membership or service, or otherwise engaging with WEF, you agree to be bound by these Terms. If you do not agree, do not use our Site or services.

You must be at least 18 years of age to enter into these Terms on your own behalf or to purchase a membership. Individuals under 18 may use the Facility only with the written consent of a parent or legal guardian who agrees to be bound by these Terms on their behalf. You represent that all information you provide is accurate and complete.

Membership terms, pricing, and benefits are described at the point of sale and in your membership agreement. All memberships are billed via recurring automatic payment through our membership-management provider. Unless otherwise specified:

•  Billing: memberships renew automatically at the interval selected at signup until cancelled in accordance with these Terms.

•  Cancellation: you may cancel your membership by providing written notice at least thirty (30) days prior to your next billing date. Cancellation does not entitle you to a refund of dues already paid.

•  Freezes: membership freezes may be available at WEF’s discretion and may be subject to a monthly freeze fee.

•  No refunds: membership dues, service packages, single sessions, retail products, and promotional offers are non-refundable except where required by law.

•  Late payment: failed payments may be retried, and WEF reserves the right to suspend access until your account is current.

Exercise, recovery modalities, and biohacking services carry inherent risks, including but not limited to musculoskeletal injury, cardiovascular events, dehydration, burns, skin irritation, dizziness, fainting, and aggravation of pre-existing conditions. Services such as hyperbaric oxygen therapy, cryotherapy, infrared sauna, float tanks, compression therapy, PEMF, red light therapy, hydrogen therapy, IV infusions, cosmetic injections, and medical weight loss each carry their own specific risks, which will be disclosed in your service-specific intake and consent forms.

By using our Facility and services, you acknowledge that you have consulted with a qualified healthcare provider where appropriate, that you are physically able to participate, and that you assume all risks associated with your participation. You agree to disclose all relevant medical conditions, medications, and contraindications truthfully and completely.

Except for services explicitly delivered by or under the direct supervision of our Chief Medical Officer or other licensed medical professionals, WEF’s services, content, kiosk responses, emails, newsletters, and social-media posts are for general wellness, fitness, and educational purposes only and are not intended to diagnose, treat, cure, or prevent any disease. Nothing on our Site or in our Facility constitutes medical advice or establishes a physician-patient relationship unless expressly documented as such in writing.

Our on-site AI concierge kiosk provides general information about WEF services, hours, staff, memberships, and educational wellness topics. The kiosk is powered by third-party large-language-model technology and may occasionally produce inaccurate or incomplete information. You should verify any material information with WEF staff before relying on it. Do not enter payment details, protected health information, or other sensitive personal data into the kiosk. Your use of the kiosk is also governed by our Privacy Policy.

To maintain a safe and welcoming environment, you agree to:

•  Follow all posted Facility rules, staff instructions, and service-specific protocols;

•  Treat other members, guests, and staff with respect; harassment, discrimination, threats, and violence are strictly prohibited;

•  Wipe down equipment after use, re-rack weights, and maintain appropriate hygiene and attire;

•  Refrain from photographing or recording other members without their consent;

•  Not use the Facility while under the influence of alcohol or illicit substances.

WEF reserves the right to refuse service, revoke access, or terminate memberships (without refund) for any violation of these Terms or for conduct deemed harmful to the Facility or its community.

Free day passes, promotional memberships, and introductory offers are valid for first-time guests only unless otherwise specified. Offers may not be combined, are non-transferable, and have no cash value. WEF reserves the right to verify eligibility and to modify or discontinue any promotion at any time.

By providing your phone number or email address, you consent to receive transactional and, where applicable, marketing communications from WEF. Message and data rates may apply. You may opt out of marketing emails at any time via the unsubscribe link, and out of marketing text messages by replying STOP. See our Privacy Policy for additional detail.

All content on the Site and within the Facility — including text, graphics, logos, photographs, videos, the WEF name and word mark, service descriptions, program designs, protocols, and the AI kiosk interface — is owned by or licensed to WEF and is protected by U.S. and international copyright, trademark, and other intellectual-property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any of our content without our prior written consent. Limited personal, non-commercial use is permitted.

Any feedback, testimonials, reviews, photographs, videos, or other content you submit to WEF (including via contact forms, social media tags, or direct communication) may be used by WEF in marketing materials, on our Site, and on our social channels. By submitting such content, you grant WEF a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, and display it. You represent that you own or have the necessary rights to the content you submit.

The Site and our services integrate with third-party providers, including GymMaster (membership management), payment processors, Google (Analytics, reCAPTCHA), Meta (Pixel, advertising), and AI-model providers. We are not responsible for the content, accuracy, or practices of third-party services, and your use of them is governed by their own terms and privacy policies.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE, FACILITY, SERVICES, AI KIOSK, AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WEF DOES NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY SERVICE WILL PRODUCE ANY PARTICULAR RESULT.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WEF, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, FACILITY, OR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL CUMULATIVE LIABILITY TO YOU WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO WEF IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You agree to indemnify, defend, and hold harmless WEF and its affiliates, officers, directors, employees, contractors, and licensors from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site or services, your violation of these Terms, or your violation of any right of a third party.

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms, the Site, the Facility, or our services will be brought exclusively in the state or federal courts located in Galveston County, Texas, and you consent to the personal jurisdiction and venue of those courts.

Before filing any claim against WEF, you agree to first contact us at hello@mywellnesscorporation.com and attempt to resolve the dispute informally for a period of at least thirty (30) days. If the dispute cannot be resolved informally, it will be resolved exclusively in the courts specified in Section 15. To the fullest extent permitted by law, you agree that any dispute will be brought only in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

We may update these Terms from time to time. When we do, we will revise the “Last Updated” date above. Material changes will be communicated to active members via email or posted prominently on the Site. Your continued use of the Site or services after changes take effect constitutes acceptance of the revised Terms.

If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy and any membership agreement or service-specific consent forms, constitute the entire agreement between you and WEF regarding your use of the Site and services.
